Terms & Conditions

This agreement governs paid and free Knect workspace accounts, including billing, data handling responsibilities, suspension and termination.

Last updated: August 28, 2026

1. The agreement

This agreement is between Knect and the individual or organization that creates a workspace ("Customer"). It incorporates our Terms of Use, Privacy Policy and Cookie Policy. Where documents conflict, this agreement prevails for workspace accounts.

2. Service description

Knect provides multi-tenant hosted software for digital business cards, permanent QR identifiers, vCard delivery, wallet passes and scan analytics. Wallet pass issuance depends on third-party programs operated by Apple and Google and may be unavailable if those credentials or programs change.

3. Fees, taxes and billing

  • Fees are quoted in Canadian dollars unless stated otherwise and are exclusive of applicable GST/HST/QST/PST, which is added at checkout based on your billing address.
  • Subscriptions renew automatically for successive terms until cancelled.
  • Cancellations take effect at the end of the current billing period; fees already paid are non-refundable except where required by applicable consumer protection law.
  • We may change pricing on at least 30 days' notice before your next renewal.

4. Customer responsibilities and privacy roles

The Customer is the organization accountable under PIPEDA for personal information it publishes or collects through Knect, including contact-exchange submissions from visitors. Knect processes that information on the Customer's documented instructions, applies appropriate safeguards, restricts personnel access, and assists with access, correction and breach obligations. The Customer must obtain any consents required from individuals whose details it publishes.

5. Acceptable use and suspension

We may suspend or limit a workspace without prior notice where required to protect the service or other customers — for example on suspected fraud, unlawful content, security compromise or non-payment. We will restore access once the issue is resolved.

6. Term, termination and data export

Either party may terminate for convenience at the end of a billing period, or immediately for material breach that is not cured within 15 days of notice. On termination, published cards and QR links are disabled. Customer data is available for export for 30 days after termination and is then deleted or de-identified.

7. Availability

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance is scheduled outside peak hours where practical.

8. Warranties and limitation of liability

Except as expressly stated, the service is provided "as is". To the maximum extent permitted by law, Knect's total aggregate liability arising out of or related to this agreement is limited to the fees paid by the Customer in the 12 months preceding the event giving rise to the claim. Nothing limits liability for gross negligence, wilful misconduct, or any liability that cannot be limited under Canadian law.

9. Indemnity

The Customer will indemnify Knect against third-party claims arising from content it publishes, its unlawful use of the service, or its failure to obtain required consents.

10. General

Neither party is liable for delays caused by events beyond its reasonable control. This agreement may not be assigned without consent, except to a successor in a corporate reorganization. It is governed by the laws of Ontario and the federal laws of Canada, with disputes heard in the courts of Ontario. Notices may be sent to legal@cpxs.ca.
